Terms & Conditions

These Terms & Conditions (“Terms”) govern your use of the services provided by Coddexa Media Ltd (“Coddexa”, “we”, “us”), a company registered in England and Wales. By placing an order or engaging our services you agree to these Terms.

1. Services

Coddexa provides AI-assisted website design and build, AI content creation, and ongoing website maintenance (“AI Care Plan”) for businesses. The specific scope of each project is defined in the service proposal or order confirmation sent to you by email.

Our current packages are described on our Pricing page:

  • Launch — 1-page landing site, contact form, deploy + SSL, AI Care Plan.
  • Business — 5–7 page site, AI-written copy, lead capture, SEO metadata, one integration, AI Care Plan.
  • Conversion — Business package plus online booking (Cal.com) and payment workflow (Stripe), analytics.
  • AI Content Pack (add-on) — 5–10 brand assets (social posts, short-form videos, graphics).

2. Delivery

A typical build goes live within a matter of days of us receiving your content and the approvals we need to proceed. Delivery timelines depend on how quickly client content, feedback and any required third-party services (domains, payment or booking providers) are provided, and any date we give is a good-faith estimate rather than a contractual deadline. Where a project is delayed by matters outside our control, we will keep you informed and agree a revised timeline. Your AI Care Plan begins on the go-live date.

3. Ordering and acceptance

An order is placed when you confirm a proposal by email or make a deposit payment. We will confirm acceptance of your order by email. Coddexa reserves the right to decline any order at its discretion before acceptance.

4. Prices and payment

All prices are in GBP (£) and are exclusive of VAT unless otherwise stated. VAT will be charged at the applicable rate where required by law.

Monthly-first plans

  • A non-refundable setup fee is payable upfront before work begins.
  • Monthly payments begin on the site go-live date and are due monthly in advance by direct debit or card payment.
  • Monthly plans run for a minimum term of 12 months. After 12 months, the plan continues on a rolling monthly basis, cancellable with 30 days' notice.

One-time payment

  • 50% of the agreed fee is due before work begins.
  • The remaining 50% is due before the completed site is handed over or deployed to your domain.

Pass-through costs

Certain costs are passed through to you at cost price with no markup. These include (but are not limited to): domain registration/renewal, premium hosting upgrades, Stripe transaction fees, Cal.com Pro subscription (if required), video/image generation API costs, and Apple Developer Programme fees (if an app is built). These will be itemised and agreed before any cost is incurred.

5. Revisions

Each package includes a defined number of revision rounds (stated in your proposal). A revision round is one consolidated set of feedback per stage. Additional revision rounds beyond those included are charged at an agreed hourly rate, quoted in advance.

6. Intellectual property and ownership

Upon receipt of full payment:

  • You own all content you provide to us (text, images, logos, brand assets).
  • You own the final delivered website build, including all custom code written specifically for your project.
  • Coddexa retains the right to display the completed work in its portfolio unless you request otherwise in writing.
  • Third-party components (open-source libraries, font licences, stock imagery) remain subject to their own licences.

Until full payment is received, Coddexa retains ownership of all work product.

7. Hosting and uptime

Where hosting is included in your plan, Coddexa will take reasonable steps to maintain site availability. We do not guarantee 100% uptime. Planned maintenance will be communicated in advance. We are not liable for downtime caused by third-party infrastructure providers or circumstances outside our control.

8. AI Care Plan

The AI Care Plan (included in monthly plans) covers: hosting, SSL renewal, uptime monitoring, minor content edits (as specified per tier), and small technical updates. It does not cover new page builds, integration changes, or redesigns — these are quoted separately.

9. Client responsibilities

You agree to: provide accurate business information and content required for the project; respond to requests for feedback within 5 business days (delays may affect delivery timelines); ensure you have the rights to all content you supply; not use our services for any unlawful purpose.

10. Liability

To the fullest extent permitted by law, Coddexa's total liability to you for any claim arising from these Terms or the provision of services shall not exceed the total fees paid by you to Coddexa in the 12 months preceding the claim.

Coddexa is not liable for: indirect or consequential loss; loss of profit, revenue, or data; losses arising from third-party services (Stripe, Cal.com, domain registrars, hosting providers) or events outside our reasonable control.

11. Termination

Either party may terminate a project for material breach if the breach is not remedied within 14 days of written notice. Upon termination, fees for work completed to date are payable. Monthly plan terminations outside the 12-month minimum term remain subject to the balance of fees for the remaining minimum term.

12. Governing law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
